Celularity disclosed financial consideration of $13. 3 million (including cash and a convertible promissory note), with potential additional milestone payments and royalties subject to the transaction documents.
NexGel positioned the transaction as a step to expand its regenerative medicine platform through the acquisition/licensing of commercial-stage biomaterials and the formation of a dedicated surgical division (BioNX Surgical) to support growth and profitability.
